Yum China to Buy Mainland China Pizza Hut Brand Rights for US$1.2 Billion

Yum China has agreed to acquire all equity interests in a Yum! Brands subsidiary that holds the Pizza Hut intellectual property and related rights in Mainland China, in a cash deal valued at US$1.2 billion. The company will fund the purchase through a mix of cash and debt, following arm’s length negotiations based on market-based valuation methods and due diligence.

The transaction shifts Yum China’s relationship with Pizza Hut in Mainland China from a master license model to full brand ownership, eliminating ongoing license fees previously paid to Yum! Brands. The acquisition, classified as a discloseable transaction under Hong Kong listing rules, is expected to strengthen Yum China’s strategic control over Pizza Hut’s brand, economics, and long-term growth prospects in its core market.
