ZIM Sets April 30 Vote on $35‑per‑Share Merger with Hapag-Lloyd

ZIM Integrated Shipping Services has called a Special General Meeting of shareholders for April 30, 2026 in Haifa to vote on a proposed merger with Germany’s Hapag-Lloyd AG, under which ZIM would become a wholly owned subsidiary of Hapag-Lloyd. The deal, anchored in a February 16, 2026 merger agreement, offers most ZIM shareholders $35 in cash per ordinary share and is positioned by ZIM’s board as fair and in the best interests of the company and its investors.

Shareholders will also be asked to approve one-time retention bonuses of up to 12 months’ base salary for 13 office holders and the CEO, and a new three‑year compensation policy for directors and officers. While the merger cannot close without shareholder approval of the merger proposal, the transaction is not contingent on the bonus or compensation policy votes, and special majority rules and affiliate exclusions will govern how key resolutions are counted, underscoring the high governance and procedural stakes for investors.
