Cheesecake Factory Secures New $400 Million Credit Facility

On March 26, 2026, The Cheesecake Factory entered into a Fifth Amended and Restated Loan Agreement establishing a new unsecured revolving credit facility of $400 million maturing in 2031, replacing its prior 2022 facility. The New Facility includes options to increase commitments by up to $200 million, offers flexible SOFR- or base-rate-linked interest pricing tiers tied to the company’s net adjusted leverage ratio, and imposes quarterly-tested financial covenants and other restrictions on additional debt, dividends, investments and major transactions.

The credit line, backed by unsecured guarantees from certain material subsidiaries, will be used for general corporate purposes, including funding dividends, share repurchases and permitted acquisitions. The structure and covenants of the New Facility are designed to preserve lender protections while providing The Cheesecake Factory with long-term liquidity and balance-sheet flexibility, and non-compliance could trigger acceleration of the facility and immediate repayment obligations.
