Coursera ( (COUR) ) has shared an update.
On December 17, 2025, Coursera agreed to merge its wholly owned subsidiary with Udemy in an all-stock transaction that will leave Udemy as a direct, wholly owned subsidiary of Coursera, with key regulatory filings made between February 25 and March 10, 2026 and special shareholder meetings set for April 9, 2026. Following the merger announcement, three lawsuits and multiple stockholder demand letters alleged disclosure deficiencies in the joint proxy statement/prospectus, and although Coursera and Udemy deny any wrongdoing or legal need for further detail, they are voluntarily issuing extensive supplemental financial and process disclosures to reduce litigation risk and avoid delays to closing, clarifying valuation assumptions, board deliberations and comparable analyses that underpin the deal structure and exchange ratio.
