Coursera Shareholders Approve Udemy Merger and Stock Increase

Coursera ( (COUR) ) just unveiled an announcement.

On December 17, 2025, Coursera, Inc. entered into a merger agreement with online learning peer Udemy, Inc., under which a Coursera subsidiary will merge with Udemy, leaving Udemy as a wholly owned subsidiary of Coursera. At a special shareholder meeting held on April 9, 2026, Coursera investors approved issuing new Coursera common shares to fund the transaction.

Shareholders also adopted an amendment to Coursera’s certificate of incorporation to double its authorized common stock from 300 million to 600 million shares, providing capacity for the merger-related issuance and future capital needs. With these approvals in place and a quorum of more than 112.9 million shares represented, the deal now moves closer to closing, pending satisfaction of remaining conditions in the merger agreement.
