On May 29, 2026, Encompass Health completed a $500 million private issuance of 5.875% senior notes due 2034, guaranteed on a senior unsecured basis by certain subsidiaries and governed by an indenture with Computershare as trustee. The notes rank pari passu with the company’s other senior unsecured debt, are subject to customary covenants and events of default, and include change-of-control repurchase rights for holders.
Net proceeds of about $491.2 million, together with cash on hand, will be used to redeem $400 million of existing 4.500% senior notes due 2028, repay $100 million under the revolving credit facility, and cover related fees and expenses. The transaction refinances a portion of Encompass Health’s nearer-term obligations, extends its maturity profile to 2034, and modestly shifts its capital structure toward higher-coupon but longer-dated unsecured debt, with structural subordination to secured borrowings and non-guarantor subsidiary liabilities remaining in place.
