Gran Tierra to Sell South American Assets for $1.33 Billion and Pivot to Debt-Free Growth

Gran Tierra Energy ( (GTE) ) just unveiled an announcement.
Gran Tierra Energy Inc. has agreed to sell its entire Colombia and Ecuador oil business to Paris-listed Maurel & Prom for total consideration of $1.33 billion, including the buyer’s assumption of most of Gran Tierra’s debt and related liabilities. The divested portfolio comprises about 29,000 barrels per day of production, significant proved-plus-probable reserves and extensive acreage across both countries.
After closing adjustments and note redemptions, Gran Tierra expects roughly $315 million in net cash proceeds, with about $250 million received at closing and a $65 million unsecured note due within a year. The company plans to use a portion of this cash for a share repurchase program and retain the balance to fund growth in its Canadian and Azerbaijan assets, leaving the business effectively debt-free with an undrawn Canadian credit facility.
Management highlights that the deal delivers an attractive valuation aligned with the net present value of the divested reserves and materially strengthens the balance sheet by eliminating substantial interest costs. On a pro-forma basis, Gran Tierra estimates a proved-developed-producing net asset value of about $12.49 per share, an 83% premium to its recent trading average, supported by retained production, reserves and contingent resources.
The transaction, unanimously approved by the board and subject to shareholder, creditor and regulatory approvals, is targeted to close around year-end 2026 with an effective economic date of March 31, 2026. The company sees the deal as a pivotal step in redefining its strategic priorities, concentrating capital on Canadian and Azerbaijan projects that it believes offer superior risk-adjusted returns and a clearer path to sustainable free cash flow growth for stakeholders.
