Hooker Furnishings Updates Executive Pay and Incentive Programs

Hooker Furniture ( (HOFT) ) has shared an announcement.

On April 13, 2026, Hooker Furnishings’ board compensation committee approved 2026 base salaries and new incentive structures for CEO Jeremy R. Hoff and CFO C. Earl Armstrong III, setting their annual pay at $680,000 and $375,000 respectively. For the 2027 fiscal year ending January 31, 2027, both executives will be eligible for performance-based cash bonuses tied 30% to revenue and 70% to operating income, with no payout below threshold performance and a cap at twice the target amount.

The committee also granted time-based restricted stock units to both executives that vest in equal thirds through April 2029, with accelerated or prorated vesting upon change of control, death, disability or retirement. In addition, they received performance-based RSUs that can pay out in company stock based on a three-year EPS compound annual growth rate and relative total shareholder return versus peers through January 28, 2029, underscoring a stronger linkage between executive compensation, long-term earnings growth and shareholder value creation.
