Iberdrola ( (IBDRY) ) has shared an update.
Iberdrola’s Brazilian subsidiary Iberdrola Energía has increased its stake in Neoenergia to 98.0% of share capital following a public tender offer to acquire shares not controlled by the group. The offer, aimed at delisting Neoenergia from the Novo Mercado segment of B3 and converting it into a category B company before the Brazilian securities regulator, involved buying 172,512,742 shares at 33.77 Brazilian reais each, for a total consideration of about 5.826 billion reais, with settlement due on 24 April 2026.
Because less than 5% of Neoenergia’s shares will remain in free float, the company will convene an extraordinary shareholders’ meeting to approve the move to 100% ownership and the compulsory redemption of remaining shares. Shareholders who did not participate in the offer may still sell their shares to Iberdrola Energía at the same price, adjusted for interest at the SELIC benchmark rate and any intervening dividends, underscoring Iberdrola’s push for full control of its Brazilian subholding and tighter integration of its operations in that market.
