Iberdrola has published the prospectus for a public tender offer by its wholly owned unit Iberdrola Energía, S.A. to acquire all Neoenergia S.A. shares not already controlled by the group or held as treasury stock, with the goal of reclassifying Neoenergia’s issuer category from A to B and delisting it from the Novo Mercado segment of Brazil’s B3 exchange after recent approval by the local regulator. The bid is intended to streamline Neoenergia’s corporate and organisational structure, increase flexibility in financial and operational management, and cut the costs associated with maintaining a Novo Mercado listing, with the auction scheduled for 9 April 2026 and Iberdrola committing to disclose the outcome once known.
