LendingClub Shareholders Approve Board, Pay and Governance Changes

On June 2, 2026, LendingClub held its annual meeting of stockholders, with 79.66% of outstanding common shares represented, and shareholders elected three Class III directors — Kathryn Reimann, Scott Sanborn and Michael Zeisser — to terms running until the 2029 annual meeting. Investors also approved, on an advisory basis, the compensation of the company’s named executive officers and ratified Deloitte & Touche LLP as LendingClub’s independent auditor for the 2026 fiscal year.

Stockholders further backed management proposals to amend and restate LendingClub’s certificate of incorporation to phase in the declassification of the board of directors and to eliminate supermajority voting requirements for changing the company’s governing documents.
