An update from LendingClub ( (LC) ) is now available.
On June 2, 2026, LendingClub held its annual meeting of stockholders, with 79.66% of outstanding common shares represented, and shareholders elected three Class III directors — Kathryn Reimann, Scott Sanborn and Michael Zeisser — to terms running until the 2029 annual meeting. Investors also approved, on an advisory basis, the compensation of the company’s named executive officers and ratified Deloitte & Touche LLP as LendingClub’s independent auditor for the 2026 fiscal year.
Stockholders further backed management proposals to amend and restate LendingClub’s certificate of incorporation to phase in the declassification of the board of directors and to eliminate supermajority voting requirements for changing the company’s governing documents. These governance changes, both requiring and receiving at least two-thirds support of outstanding shares, mark a shift toward more conventional, shareholder-friendly structures that could enhance investor influence over the board and future corporate decisions.

Spark’s Take on LC Stock
According to Spark, TipRanks’ AI Analyst, LC is a Outperform.
The score is held back primarily by weak cash-flow conversion (deeply negative OCF/FCF), despite a strong balance sheet and improved profitability. Technicals are a meaningful positive with price above major moving averages and positive MACD, though near-term is somewhat overbought. Valuation is reasonable on P/E, and the earnings call was broadly constructive with maintained guidance, while the Nasdaq/rebrand event is modestly supportive.
