Marex Completes Bermuda Redomiciliation and Assumes Outstanding Debt Obligations

On July 1, 2026, Marex completed a redomiciliation, installing Bermuda-based Marex Group Limited as the new parent of the group, with former U.K. parent Marex Group plc becoming wholly owned and renamed Marex UK Holdings Limited after conversion to a private company. Existing shareholders of the old parent received one-for-one ordinary shares in the new Bermuda holding company, aligning the corporate structure with prior court and shareholder approvals.

On July 6, 2026, the new Marex entity assumed all obligations under Old Marex’s SEC shelf registrations, senior structured notes, senior notes, subordinated notes and contingent capital convertible securities through a series of supplemental indentures with trustees. The succession ensures continuity for holders of Marex’s outstanding debt instruments, keeping terms and payment obligations intact while shifting the issuer to the new Bermuda-based holding company.
