Norwegian Cruise Line ( (NCLH) ) has provided an announcement.

On June 11, 2026, Norwegian Cruise Line Holdings held its annual general meeting of shareholders in Miami, where investors voted on director elections, executive pay, incentive plan changes, auditor ratification and a governance proposal. Shareholders elected three Class I directors to serve until 2029, approved on an advisory basis the compensation of named executive officers and opted to hold future say-on-pay votes annually.

Investors also backed an amendment to the company’s 2013 Performance Incentive Plan, increasing the shares available for equity awards, which may enhance the firm’s ability to attract and retain executives. They ratified PricewaterhouseCoopers LLP as auditor for 2026, and importantly, approved a shareholder proposal to declassify the board, signaling momentum toward a more annually elected and potentially more accountable board structure.

Spark’s Take on NCLH Stock

According to Spark, TipRanks’ AI Analyst, NCLH is a Neutral.

The score is mainly held back by high leverage and inconsistent free cash flow despite clear post-downturn operating recovery. Technicals are mixed-to-weak on intermediate trends, while valuation is reasonable and recent corporate actions modestly improve the outlook via governance changes and reduced dilution.
