Oil States International amends CEO severance compensation terms

The latest update is out from Oil States International ( (OIS) ).

On July 9, 2026, Oil States International, Inc. amended the executive agreement of President and Chief Executive Officer Lloyd A. Hajdik, changing how his severance benefits are calculated upon certain termination events. The amendment leaves all other terms of the executive agreement unchanged.

Under the revised terms, if Hajdik is terminated without cause or resigns for good reason within 24 months of a change of control, he will receive a lump sum severance equal to three times his termination base salary and target AICP. If he is terminated without cause outside that post–change-of-control window, the severance is reduced to 1.5 times that combined amount, clarifying potential payouts tied to leadership continuity and control changes.
