OpenText Announces Redemption Plan to Optimize Capital Structure

Tipranks - Wed Sep 23, 7:54AM CDT

Open Text ( (TSE:OTEX) ) has shared an announcement.

On September 22, 2026, OpenText announced it had issued a conditional notice of redemption for $1.0 billion of its 6.900% senior secured notes due 2027, targeting full redemption on October 2, 2026, subject to financing and other conditions. The company outlined a detailed redemption price mechanism and confirmed that, upon payment on the redemption date, the notes would be cancelled and related obligations extinguished.

OpenText is also exploring a potential offering of new senior secured notes under Rule 144A and Regulation S, with expected proceeds earmarked primarily to fund the 2027 note redemption, including premiums, interest and costs. Any remaining proceeds would be used for general corporate purposes, such as repurchasing or repaying other outstanding debt, and the company is concurrently seeking to amend and extend the maturity of its revolving credit agreement, signaling an active effort to optimize its capital structure.

Spark’s Take on OTEX Stock

According to Spark, TipRanks’ AI Analyst, OTEX is a Outperform.

The score is driven primarily by strong and improving profitability with solid cash generation, partially offset by leverage and uneven revenue/FCF momentum. Valuation is a clear positive (low P/E and high dividend yield), while technicals are moderately supportive but not fully bullish given the stock remains below the 200-day average. Earnings-call guidance is balanced: positive cloud/AI and deleveraging trends, but near-term top-line and margin/FCF headwinds from reinvestment and softer renewal/support metrics.
