OpenText Launches Senior Secured Notes to Refinance Debt

Tipranks - Thu Sep 24, 9:00AM CDT

The latest announcement is out from Open Text ( (TSE:OTEX) ).

On September 23, 2026, OpenText said it had launched a proposed offering of senior secured notes, guaranteed and secured on the same basis as its existing credit facilities and 6.900% senior secured notes due 2027. The company plans to use the proceeds primarily to redeem in full the outstanding $1.0 billion of its 2027 notes and to help fund a tender offer for up to $450 million of its 3.875% senior notes due 2028, with any remaining funds earmarked for general corporate purposes.

The move reflects an effort to actively manage and refinance OpenText’s debt stack by replacing existing secured notes and partially retiring 2028 maturities, which could alter its interest and maturity profile once completed. The tender offer and redemption are both subject to financing and market conditions, so the ultimate sizing, timing and balance between new issuance and cash-on-hand will be closely watched by bondholders and other stakeholders.

The most recent analyst rating on (TSE:OTEX) stock is a Hold
with a C$27.00 price target.

Spark’s Take on OTEX Stock

According to Spark, TipRanks’ AI Analyst, OTEX is a Outperform.

The score is driven primarily by strong and improving profitability with solid cash generation, partially offset by leverage and uneven revenue/FCF momentum. Valuation is a clear positive (low P/E and high dividend yield), while technicals are moderately supportive but not fully bullish given the stock remains below the 200-day average. Earnings-call guidance is balanced: positive cloud/AI and deleveraging trends, but near-term top-line and margin/FCF headwinds from reinvestment and softer renewal/support metrics.
