OpenText Reshapes Debt Profile With Tender Offer

Tipranks - Fri Oct 2, 5:48AM CDT

Open Text ( (TSE:OTEX) ) has shared an update.

On September 30, 2026, OpenText announced the pricing terms and results of its cash tender offer for its 3.875% Senior Notes due 2028, capping purchases at $300 million of principal despite $697.6 million being tendered. Holders whose notes are accepted will receive $981.71 per $1,000 of principal, plus accrued interest, with settlement expected on October 2, 2026.

Because tenders far exceeded the cap, accepted notes will be subject to a proration factor of about 43%, limiting how much individual bondholders can sell back to the company. OpenText expects to close a concurrent senior secured notes offering on October 1, 2026 and use those proceeds, along with cash on hand, to redeem in full its 6.900% Senior Secured Notes due 2027 and fund the tender payments, reshaping its debt profile and potentially lowering financing costs.

The most recent analyst rating on (TSE:OTEX) stock is a Hold
with a C$27.00 price target.

Spark’s Take on OTEX Stock

According to Spark, TipRanks’ AI Analyst, OTEX is a Outperform.

The score is driven primarily by strong and improving profitability with solid cash generation, partially offset by leverage and uneven revenue/FCF momentum. Valuation is a clear positive (low P/E and high dividend yield), while technicals are moderately supportive but not fully bullish given the stock remains below the 200-day average. Earnings-call guidance is balanced: positive cloud/AI and deleveraging trends, but near-term top-line and margin/FCF headwinds from reinvestment and softer renewal/support metrics.
