ProAssurance Nears Merger Completion with The Doctors Company

ProAssurance said its stockholders approved on June 24, 2025, the previously announced merger under which Jackson Acquisition Corporation, a wholly owned subsidiary of The Doctors Company, will merge into ProAssurance, leaving ProAssurance as a wholly owned subsidiary of The Doctors Company. The U.S. Federal Trade Commission granted early termination of the Hart-Scott-Rodino waiting period on July 2, 2025, clearing a key antitrust step for the deal.

The Doctors Company has now obtained all necessary approvals from insurance regulators in the states where ProAssurance’s insurance subsidiaries are domiciled, as of June 23, 2026. With all required regulatory consents secured, the companies expect to close the merger on June 26, 2026, subject only to remaining customary closing conditions, marking a significant milestone toward consolidating their insurance operations under a single owner.
