SM Energy Completes Tender Offer, Retires High-Coupon Notes

SM Energy ( (SM) ) has provided an update.

On April 2, 2026, SM Energy reported the expiration and final results of its cash tender offer for up to $1 billion of 8.375% senior notes due 2028, originally issued by Civitas Resources and assumed in connection with their merger. As of the April 1, 2026 expiration, the company accepted a total of $893.995 million in notes for purchase, including $783.605 million settled on March 19 and a further $110.39 million to settle on April 3, effectively retiring a substantial portion of this higher-coupon debt and refining its post-merger capital structure.

The tender offer, launched under an offer to purchase dated March 4, 2026, was not subject to any minimum participation threshold, and all notes validly tendered by the deadline were accepted. By significantly reducing these 8.375% notes, SM Energy is tightening its liability profile following the Civitas transaction, which may lower interest costs and provide greater balance-sheet flexibility for investors and other stakeholders.
