U Power Raises $6 Million in Warrant-Heavy Follow-On Offering

U Power Limited ( (UCAR) ) has provided an update.

On March 20, 2026, U Power Limited closed an underwritten follow-on public offering of 13,360,000 units, each comprising one Class A ordinary share and one Class A warrant, at $0.449 per unit for gross proceeds of about $6 million before fees. The deal, managed by Maxim Group LLC, followed SEC effectiveness of the company’s Form F-1 on March 18 and included a partially exercised over-allotment for 1,890,000 additional warrants.

The one-year Class A warrants are immediately exercisable, feature step-down exercise prices to 70% and 50% of the initial price on the second and fifth trading days after closing, and include a zero exercise price feature that doubles the share count versus a cash exercise. This highly structured, warrant-heavy financing provides short-term capital but also introduces significant potential dilution, underscoring the company’s reliance on equity markets to fund its AI-driven energy and transportation initiatives.
