Unilever ( (GB:ULVR) ) has issued an announcement.
Unilever has agreed to combine its Foods business with McCormick & Company, creating a $20 billion-revenue global flavour group spanning herbs, spices, seasonings, cooking aids, sauces and condiments. The combined business, which will retain the McCormick name and leadership while adding senior Unilever Foods executives, will own iconic brands such as McCormick, Knorr and Hellmann’s and is targeting about $600 million in annual cost synergies within three years.
The deal values Unilever Foods at $44.8 billion and will see Unilever and its shareholders receive 65% of the combined company’s equity plus $15.7 billion in cash, while McCormick shareholders will hold 35%. The transaction, expected to close by mid-2027 subject to regulatory and shareholder approvals, will refocus Unilever as a pureplay home and personal care group with a higher structural growth profile, stronger premium and emerging-market exposure, and capital returned to investors via debt reduction and a planned €6 billion share buyback.
