Venture Global, Inc. Class A ( (VG) ) just unveiled an update.
On June 11, 2026, Venture Global LNG, Inc. completed a $2.25 billion private offering of senior secured notes, split between 6.375% notes due 2034 and 6.625% notes due 2036, placed with qualified institutional buyers and certain non-U.S. investors. The proceeds were used to redeem all outstanding 8.125% senior secured notes due 2028, effectively refinancing its debt at longer maturities and establishing a new indenture that sets detailed collateral, covenant, guarantee, and redemption terms for the company’s capital structure.
The new notes, which share collateral with existing notes and a revolving credit facility, feature semi-annual interest payments starting December 15, 2026 and may become unsecured and covenant-light during periods when they are rated investment grade. The indenture imposes customary restrictions on additional indebtedness, restricted payments, liens, affiliate transactions, and structural changes, while granting Venture Global LNG flexible call options from 2029 and 2031, respectively, and earlier premium-based redemptions, positioning the company with increased financial flexibility and extended debt maturities.
