On June 12, 2026, Whirlpool released early results of its cash tender offer for its euro-denominated 1.250% notes due 2026 and 1.100% notes due 2027 issued by Whirlpool Finance Luxembourg S.à r.l., showing that €365.3 million, or 73.06%, of the 2026 notes and €546.7 million, or 91.12%, of the 2027 notes had been validly tendered and not withdrawn by the early tender deadline. The company will settle accepted early tenders around June 18, 2026, has secured sufficient consents to implement amendments to the 2027 notes indenture once the tendered 2027 notes are purchased, and plans to fund the transaction partly with a $2 billion senior secured notes offering, while keeping the tender and consent process open until June 30, 2026 for remaining holders.

The concurrent issuance of long-dated senior secured second-lien notes due 2031 and 2034 is expected to refinance shorter-dated obligations and signals active balance-sheet management that affects bondholders through changes in capital structure, collateralization and the trading profile of the outstanding notes.
